I Comply, You Comply, We Comply … Are You Sure?

By Robert Neuberger Failure to follow corporate formalities may expose corporate officers, directors and shareholders to personal liability. Maintaining good records, including corporate minutes, on a timely basis goes a long way toward maintaining the limited liability benefit of a corporation. If incorporating was your first step to a new and safe way to do business, compliance with the law is the easiest way to keep you safe from any liability associated with they way you manage your company. There are many reasons to pay attention to the formalities associated with running a corporation: Business corporation laws require articles of incorporation and bylaws and specify other things that must occur. Articles of incorporation and bylaws form a contract between the corporation and its shareholders, obligating the corporation to act in accordance with the articles and bylaws. Directors and officers owe the corporation and shareholders a fiduciary duty to use good faith, exercise due care, and act in the best interests of the corporation. Majority shareholders must act in good faith, in a manner not calculated to oppress the rights of minority shareholders. Corporate formality must be respected and observed to preserve the integrity of the corporation and to shield officers, directors, and shareholders or related businesses from personal liability. Dont think that for the fact that you can be the only person holding all the positions of a corporation you are out of keeping your company in compliance. Minutes are legal records that document actions and support business decisions made by the principals of the business throughout the year. Minutes help you to separate your own affairs from the companys actions. It is the way to protect you from liability. During an IRS audit a privately held company may be required to produce the minutes of the company. If they do not, or can not give the minutes to the IRS agent, the problems stand as found. There is no negotiation with the IRS. State law requires corporations to prepare annual minutes and in many cases; failure to do so has contributed to piercing of the company veil resulting in exposure to the principals. As mentioned, without current and complete minutes, corporate players could be held personally liable for the actions of the corporation. Protect Yourself Your legal protection could be in jeopardy if a creditor successfully pierces the corporate veil due to the corporations failure to keep minutes. So, You Think You Have The Perfect Relationship?

By Tim Connor Is there such a thing as a perfect relationship? If so what does it look like? First lets define perfect. Perfect excellent or complete beyond practical or theoretical improvement. Want more? Flawless, ideal yada, yada, yada. If you tell me you have a perfect relationship what you are saying indirectly is that both of you are perfect. Relationships are independent entities that are created when two people come together whether in marriage or any other type of arrangement. A relationship cant be perfect because everything in nature has flaws or could improve in some way. Sooner or later we just have to learn to find joy in an imperfect sunset, mountain vista or child. Ask any grandmother and their grandson is perfect in every way. Ask anyone in love and they will say their mate is perfect. Compared to what? Is it really perfection or is it our view, attitudes, outlook, experience etc. that makes things perfect? Perfection is a perception and perceptions depend on a variety of factors; age, experience, gender, life outlook, goals and attitudes to mention just a few. When a lover looks into the eyes of his or her new love they see only what they want to see perfection. They tend to be willing or able to overlook perceived (personal opinions) flaws or faults in the beginning. But as time passes many of these same issues, traits or behaviors can become a source of aggravation and even conflict. If all of this psycho mumbo jumbo is true, and I believe it is my perception then is there are no such things as perfect relationships just degrees of perfection based on the peoples willingness to overlook certain factors, behaviors or attitudes. When I have asked if people have an ideal or perfect relationship I hear things like: -He/she understands me. (All of the time? Every time? Come on lets be honest here.) -He/she is awesome (Come on now could you still be in the infatuation stage?) -We have everything in common. (This can get a little boring dont you think!) -We never argue about anything. (Give me a break!) -Our relationship is in a good place now. (What about last week or last year or next week or next year?) -Flexibility and compromise are the bywords of our relationship. (Every time yea - right!) -I love everything about him or her. (Some stuff just hasnt surfaced yet, just give it time folks.) -We can talk about anything without conflict. (I hate to call people liars, but) So, are there perfect relationships? No, because there are no perfect people. Are there successful relationships? Yes, millions of them. What is the difference between perfect and successful? Re-read the previous paragraph and you will now see the difference. Here, Ill help you. - He/she understands me. (No - he or she doesnt but can accept you for who you are anyway.) - We have everything in common. (It is the ability to manage differences in relationships that counts.) - We never argue about anything. (We can have conflict without invalidating each other.) - Our relationship is in a good place now. (Good is defined as the present. We stay focused on what is now - not what was, has been or could be.) - Flexibility and compromise are the bywords of our relationship. (We keep our ego in check.) - I love everything about him or her. (I dont like everything but it is who she/he is and I can learn to love unconditionally.) - We can talk about anything without conflict. (We have learned to be honest with feelings and opinions without the need to be right or challenge each other.) Dont tell me you have a perfect relationship. It becomes a nightmare and you find you are just not sure what to do. Here are some timely pieces of advice, but by no means comprehensive. If you have special circumstances, it may pay you to go one step further and get some professional advice. BALANCE AND COMMON SENSE… If you collect Antique Jewelry and your collection has grown to more than ‘Just a couple of Rings’ you will have a double edged sword to handle. In the first place you have two problems. * You are an active buyer, so people know who you are. * Insurance has put ‘Premiums’ through the roof. Personally, we just Hate to see items collected and never worn. Jewelry was made to adorn, so if you can, wear them. But remember this is an open advert to the whole world that you have ‘Got some Jewelry’ at Home. It pays to be just a little aware! YOUR INSURANCE POLICY… Your Home and Contents policy ‘GENERALLY’ does NOT cover your personal Jewelry over a certain amount (this varies from company to company). Plus if you had to claim, the Insurance company may take a ‘premium’ from you (say $100) which they would DEDUCT from the final payout. The remaining value may not cover one item in your collection, yet alone the ’sentimental’ value associated with your personal favorites. So you will have to list all of the items individually and get an Insurance Valuation certificate as well. Because ‘Sentimental’ value does not apply, only the replacement costs, you will have to ensure your qualified gemologist/jeweler/valuer understands why you are having an appraisal done in the first place. This can get expensive as professional appraisals typically cost a flat ‘Take-in’ price of around $20 plus a sliding scale fee of approximately one percent of the final value. In an item is valued around $1000 dollars, that fee is $10 + $20 take-in or $30 total. This is just for ONE item. I like the idea but I dread returning to school for a new degree. A. Before you invest in a degree, try out the new career. A test drive will tell you more than any pencil-and-paper test. Find two or three people who are doing what you want to do and ask to spend a day or a week with them. If you like what you see, visit a few schools or universities that offer degrees in your area of interest. Ask for names of people who have graduated one, three and five years ago. Ask the alumni, “Did this degree help you get your job? Advance in your job? “Would you have done better with a degree from another school? Or would you have done as well with a degree from a lower-ranked school?” Don’t stop until you have talked to six graduates — maybe more. Talk to students, not faculty. Professors must support their own programs, even when they want to say, “You can do better elsewhere,” or, “This program is a waste of your time and money.” And these days, anyone with a title like “Admissions Director” or “Enrollment Management” may be trying to make a sale, not offer objective guidance. Investigate several options. You may find an equally satisfying career that offers on-the-job training. You may find an educational program that takes less time or comes with a stipend. No degree program offers a magic bullet. Ultimately you may win the job and career success by your power networking as well as you social, interpersonal and technical skills. The Bumpy Soap Method for Getting What You Want in Life

By Rick Dalton On my blog, readers often ask me for a quick way to become better around women. They arent ready to try The Guide yet. They just want to take baby steps and get a general direction for improvement. Not only is this fine, but its exactly the right attitude for men who are just starting out with taking their love lives to new heights. The Bumpy Soap Method is my answer. Its something that we all instinctively know, except it leaves us when we need it most. When you become consciously aware of it, youll find its the best way to get anything you want out of life. I always think best in the shower. For whatever reason, when I’m there my mind tends to wander and thoughts flow freely. Like yesterday, for example I had a little sliver of soap left to use. It had gotten so small that most people would toss it aside and unleash a new bar. Not me. And as it slipped out of my hand a third, fourth and fifth time, my mind began to wander again. What is happening? Soap keeps slipping. Why? No bumps on it to grip onto. Maybe I should make a soap that stays bumpy and see if that works. Granted, sometimes I come up with less brilliant ideas in the shower. Yet for all the spaceships and processors and amazing achievements in this world, the Bumpy Soap still eludes us. But soon I drifted away from the actual result of my thinking, and instead focused on the method. Essentially, its the method every inventor uses to improve a product. Its the method every video gamer uses to beat a game. Its the method every scientist uses when he tries to explain the world. And yet, when guys try to improve with women, this all-powerful method deemed Bumpy Soap completely disappears from our minds. Weird. Bumpy Soap is a 4-step process: 1) Identify the problem. 2) Identify why the problem occurs. 3) Adjust accordingly and try again. 4) If theres still a problem, repeat till you find success. Heres how it works out for those trying to become better with women Step 1: Identify the problem. Simple: Im not attracting women. Step 2: Then, identify one main reason why this problem occurs. When I was just starting out, my problem was Im not meeting enough women. My friend Brads problem was Im staying in the friend zone. Many of my students have said Women look down upon me. There are a few other possibilities, but normally its one of these three. Step 3: Next, adjust accordingly. Put on your thinking cap, or inventors cap, or scientist cap, or gamers cap, and try to figure out how to stop that problem from happening. Im not meeting enough women. For me, it was simple. Go out and meet more women. I decided to walk around outside and start a conversation with every woman who passed by, and see how that goes. Im staying in the friend zone. Brad decided the best way to get out of the friend zone was to tell his friends his true feelings. Hed do so, and also be more direct about his intentions when meeting new women, and see how that goes. Women look down upon me. My students decided to be more confident in who they are. (Yes, its as easy as that. Youd be surprised how easy it is to change when you logically realize confidence gives you a better chance.) They would do so around women, and see how that goes. Step 4: Testing and Re-analyzing. Then, we tested. Chances are, youll be surprised how accurate you were on your first adjustment. Im not meeting enough women. Ive always been an engaging, upbeat person, so I thought it was likely Id get a few numbers just by overcoming my crippling anxiety. I was right. I approached ten women in public the next day, and got two numbers. Id tasted blood. Im staying in the friend zone. Brad made his intentions clear. Sure enough, one of his friends (Stacy) felt the same way back and never thought hed ask. Women look down upon me. Many of my students, while being more confident, found immediate success with women - getting phone numbers and dates that night - for the first time at bars and clubs. Successive Testing. We still had a lot to improve at. While our first attempts won us success, we still werent great with women. Day by day, we simply tried new things and solved new problems. It was fascinating to learn step by step, and wed get to be pretty darn decent around women in just a few weeks time. I did it longer, and now I teach it to other men. What Most Men Do Wrong. For as much as we use Bumpy Soap in our everyday lives, youd think it would come naturally to us in the dating world. Not so. Those who struggle tend to set their sights on one and only one woman in particular. Like a football player in his only Superbowl, he says I HAVE to get this one or I’m a failure! And when they dont, they delve into all the possible reasons why. Im too fat. I dont smile enough. Theres other guys that are better than me. I have a scar on my left ear. I dont tell funny jokes. Yada yada yada. This kind of behavior is destructive, and causes them to look backwards instead of forwards. Lets use the video gamer analogy to see how ridiculous this behavior is. If you start out trying to beat a new video game, the last thing youd do is tell yourself I HAVE to win it on this try or else I’m a failure! Imagine someone who did that and failed. Hed immediately start naming all the things that went wrong, that he should’ve done, and he might be unwilling to try again. But the overall goal is not to date one particular woman. The overall goal is to become better with all women. That includes your mail lady, your teacher, the cute bartender, the librarian, your friend Jenny, the waitress any woman that comes into your life. You don’t have to attract all of them, just be engaging, be interested in them as people, smile and win them over. You’ll have some successes and many failures, but you’ll be learning, tinkering and improving all along the way… and eventually you’ll get it. At that point, itll be that much easier to end up with Mrs. Right. One final note. Many of my students came to me believing their looks were the reason why they didnt attract women. Trust me on this, the reason is rarely hes not good looking enough or hes too short or hes too young. I’ve seen guys with shriveled hands, lazy eyes, and scars across their faces attract the women they want. You have no excuse. Stick to what you can control (your personality, your courage, your drive), keep developing it day by day with Bumpy Soap, and hone your skills till you know you’ll be ready when Mrs. Right enters your life. Law Can Do More Harm than Good

By Neil Simmons It’s never an easy thing trying to manage a condominium - you’ll never please all of the people all of the time. Things get particular difficult because the Thai condominium law is generally a mix of dark and light grey, with little snippets of black and white. I’m not a qualified lawyer, but I do have extensive experience in managing condominiums here in Thailand. The Thai Condominium Act was written years ago and, since its inception, has only been modified once with the Thai Condominium Act 2534 (1991), which basically only covered rules relating to foreign ownership. However, instead of making positive amendments to the Act when a problematic situation arose; instead of learning from experience, improving the Act and making it more user-friendly and more beneficial for condominiums in Bangkok (there are of course a whole lot more condominiums now than there were 26 years ago), what has been done? That’s right, nothing. So, if at first you don’t succeed, let other people deal with the consequences. What consequences? The fact is that many condominium developers in Thailand are forced to break the law just to avoid going bankrupt. As time goes by, inflationary pressure will eventually mean that a condominium will be spending more than it receives in common area management fees (CAM). This means that there won’t be money available even for the most necessary things, like repairs, condominiums repainting, and cleaning. To avoid things going belly-up the CAM fees would need to be increased. Although the Condominium Act itself is a bit vague, the Land Department has confirmed to me that in order to register a CAMfee increase with them, and make it a legal increase, there would need to be 75% or more of all of the condominium co- owners to approve the increase in CAM fees in a general meeting. This is just practically impossible for most condominiums to do. The chances of having 75% of co-owners in the same place at the same time, for them all to give up their social arrangements to attend a general meeting - it just can’t happen. So, eight the condominium doesn’t increase its CAM fees, and it slowly falls into a derelict state, or the CAM fees are increased ignoring the 75% rule, and the increase is not legally registered with the Land Department. What if the co-owners refused to pay the increase in CAM fees? Well, this is where Thai law really makes things difficult. There’s nothing the condominium can do. Luckily for most condominiums, people generally want what’s best for the condominium and they pay up. But in some condominiums, co-owners refuse to allow a CAM fee increase without the 75% voting rule, and that’s when the financial troubles really start. The law is supposed to protect the majority of co-owners, when in reality it hurts them all. Typically, you need one-third of all co-owners to attend a general meeting to make quorum. But the condominium Act states that if you want to make any changes to the Condominium Articles of Association, or increase CAM fees, you need 75% of all co-owners to approve. So you can normally hold a meeting, but just can’t vote on anything. What a wonderful piece of common sense that was. So remember, if you’ve seen a condominium unit that you like, don’t just buy it, do a little homework first. Here are some things to bear in mind: - Check that the condominium income is sufficient to pay for its expenditure. Ask to see the financial statements. - Check that all co-owners are paying their CAM fees. It’s not worth buying a unit if half the co-owners aren’t paying or aren’t able to pay. - Find out if there are any legal disputes happening or likely to happen in the future, or if the banks have seized any units.
